1. Acceptance of Terms

By accessing and using our legal document preparation services in Singapore, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. These terms constitute a legally binding agreement between you and our service provider. If you do not agree with any part of these terms, you must immediately discontinue use of our services.

Our services are designed to assist with the preparation of legal documents in accordance with Singapore law. We reserve the right to modify these terms at any time, and continued use of our services following any changes constitutes acceptance of those modifications.

2. Service Description

We provide professional legal document preparation services specifically tailored for Singapore jurisdiction. Our services include drafting, reviewing, and formatting various legal documents including but not limited to contracts, agreements, corporate documents, and compliance materials.

Important Notice: Our services constitute document preparation assistance only. We do not provide legal advice, representation, or consultation. For legal advice specific to your situation, you must consult with a qualified Singapore attorney.

3. User Obligations

3.1 Information Accuracy

You are solely responsible for providing accurate, complete, and truthful information for document preparation. You warrant that all information provided is current and correct to the best of your knowledge.

3.2 Lawful Use

  • Use our services only for lawful purposes in compliance with Singapore laws and regulations
  • Refrain from using our services to create documents intended for fraudulent, illegal, or unethical purposes
  • Maintain confidentiality of your account credentials and access information
  • Notify us immediately of any unauthorized access or security breaches
  • Accept full responsibility for all activities conducted under your account

3.3 Professional Review

You acknowledge and agree to have all prepared documents reviewed by a qualified legal professional before execution or submission. We strongly recommend independent legal counsel review all documents to ensure they meet your specific needs and comply with applicable laws.

4. Service Limitations

4.1 No Attorney-Client Relationship

Use of our services does not create an attorney-client relationship. We are document preparation specialists, not legal advisors. We cannot and do not provide legal advice, opinions, or recommendations regarding legal rights, remedies, defenses, options, or strategies.

4.2 Scope Restrictions

  • We do not represent you in any legal proceedings or negotiations
  • We cannot advise on the legal sufficiency or consequences of any document
  • We do not guarantee specific outcomes or results from document use
  • We cannot predict how courts or other parties will interpret documents
  • We are not responsible for changes in applicable laws after document preparation

4.3 Service Availability

While we strive to maintain continuous service availability, we do not guarantee uninterrupted access. Services may be temporarily unavailable due to maintenance, technical issues, or circumstances beyond our control.

5. Intellectual Property Rights

5.1 Our Proprietary Rights

All content, software, templates, methodologies, designs, graphics, and materials provided through our services remain our exclusive property or that of our licensors. This includes but is not limited to copyrights, trademarks, trade secrets, and other intellectual property rights.

5.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to use prepared documents for your intended personal or business purposes. You may not reproduce, distribute, modify, or create derivative works from our templates, systems, or methodologies without express written permission.

5.3 Client Documents

You retain ownership of the specific content and information you provide. However, you grant us a license to use such information solely for the purpose of providing our services to you.

6. Liability Limitations

6.1 Disclaimer of Warranties

Our services are provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the accuracy, completeness, reliability, or suitability of prepared documents for any particular purpose. We disclaim all warranties including merchantability, fitness for a particular purpose, and non-infringement.

6.2 Limitation of Liability

To the maximum extent permitted by Singapore law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses resulting from your use of our services.

Our total liability for any claim arising from these terms or our services shall not exceed the amount you paid for the specific service giving rise to the claim, or one hundred Singapore dollars (SGD 100), whichever is greater.

6.3 Indemnification

You agree to indemnify, defend, and hold harmless our company, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses arising from your use of our services, violation of these terms, or infringement of any third-party rights.

7. Dispute Resolution

7.1 Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law provisions.

7.2 Negotiation and Mediation

In the event of any dispute arising from these terms or our services, parties agree to first attempt resolution through good faith negotiation. If negotiation fails within thirty (30) days, parties shall attempt mediation through the Singapore Mediation Centre before pursuing other remedies.

7.3 Arbitration

Any dispute that cannot be resolved through negotiation or mediation shall be submitted to binding arbitration in Singapore under the rules of the Singapore International Arbitration Centre (SIAC). The arbitration shall be conducted in English, and the decision shall be final and binding on all parties.

7.4 Jurisdiction

Subject to the arbitration clause above, parties submit to the exclusive jurisdiction of the courts of Singapore for any matters not subject to arbitration.

8. Payment Terms

All fees for services must be paid in advance unless otherwise agreed in writing. Prices are stated in Singapore Dollars (SGD) and are subject to change with notice. Payment constitutes acceptance of our pricing and service terms. Refunds, if applicable, are provided at our sole discretion and according to our refund policy.

9. Confidentiality and Data Protection

We are committed to protecting your privacy and maintaining confidentiality of information provided to us. We handle personal data in accordance with the Singapore Personal Data Protection Act (PDPA) and maintain appropriate security measures. However, you acknowledge that no electronic transmission is completely secure, and we cannot guarantee absolute security of information transmitted through our services.

10. Termination

We reserve the right to suspend or terminate your access to our services immediately, without notice, for any breach of these terms or for any reason we deem appropriate. Upon termination, your right to use our services ceases immediately. Provisions regarding intellectual property, liability limitations, indemnification, and dispute resolution survive termination.

11. General Provisions

11.1 Entire Agreement

These Terms and Conditions constitute the entire agreement between you and us regarding use of our services and supersede all prior agreements and understandings.

11.2 Severability

If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

11.3 Waiver

No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these terms shall not constitute a waiver of such right or provision.

11.4 Assignment

You may not assign or transfer these terms or your rights hereunder without our prior written consent. We may assign our rights and obligations under these terms without restriction.
